How to close an LLP?

You can close your LLP in two ways: One is application by LLP to MCA for removing its name from register of LLPs pursuant to rule 37(1)(b) of Limited Liability Partnership Rules, 2009 and another is winding up of LLP.

Removal of Company Name under rule 37(1)(b):

Under rule 37(1)(b) of Limited Liability Partnershp Rules, 2009, where an LLP is not carrying on any business operation for a period of one year or more and make an application in Form 24 to the Registrar, with the consent of all partners of the limited liability partnership for striking off its name from the register. The contents of an application made by the LLP shall be placed on the website of the Ministry of Corporate Affairs for the information of the general public for a period of one month. At the expiry of one month, the Registrar may, by an order, unless cause to the contrary is shown by the limited liability partnership, or the Registrar is satisfied that the name should not be struck off from the register, strike it's name off the register, and shall publish notice thereof in the Official Gazette, and on the publication in the Official Gazette of this notice, the limited liability partnership shall stand dissolved.

Winding up of LLP:

The LLP can be wound up in two mothods that is winding up of LLP by Tribunal and another is voluntary winding up.

Winding up by Tribunal:

The Tribunal may wound up your LLP on the following grounds:

  1. If, for a period of more than six months, the number of partners of the LLP is reduced below two.
  2. If the LLP is unable to pay it's debts.
  3. If the LLP has acted against the interest of the sovereignity and integrity of India, the security of the sate or public order.
  4. If the LLP has made a default in filing with the Registrar the Statement of Account and Solvency or annual return for any consecutive five financial years.
  5. If the Tribunal is of the opinion that it is just and equitable that the LLP should be wound up.

Voluntary Winding up:
